Comply.PH specializes in providing comprehensive regulatory and statutory compliance services in the Philippines. We assist businesses at every stage, from incorporation and registration to accounting, tax compliance, payroll outsourcing, and employer of record (EOR) services. Our goal is to streamline administrative and operational processes, ensuring full compliance with Philippine regulations. The specific scope of services will be detailed in a separate agreement between Comply.PH and the client, tailored to meet the unique needs of each business.
By using our services, you represent and warrant that you are authorized to enter into this agreement on behalf of your company or organization. You must be at least 18 years old to use our services.
As a client, you agree to:
Fees for our services will be detailed in your service agreement. You agree to pay all fees and charges promptly. Late payments may result in additional charges or suspension of services. All fees are non-refundable unless otherwise stated in your agreement.
Either party may terminate the service agreement by providing written notice in accordance with the terms of the agreement. Upon termination, you agree to pay for all services rendered up to the termination date. We reserve the right to terminate or suspend services immediately if you breach any of these Terms.
All content, materials, and intellectual property related to our services, including our website, are owned by Comply.PH or our licensors. You are granted a limited, non-exclusive license to use our services solely for your business needs. You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.
Both parties agree to maintain the confidentiality of all non-public information disclosed in connection with the services. This includes but is not limited to, business plans, financial information, employee data, and proprietary information. Confidential information shall not be disclosed to any third party without prior written consent except as required by law.
Comply.PH shall provide services with due professional care based on the information provided by the client. Comply.PH shall not be responsible for the accuracy of the information supplied by the client, and any errors resulting from inaccurate or incomplete information shall be the responsibility of the client in the event of errors or omissions directly caused by Comply.PH, the firm will correct such errors at no additional charge to the client, provided such errors are reported within 30 days of the issue date. Comply.PH's liability is limited to the amount of fees paid for the services during the period in which the error occurred. Comply.PH shall not be liable for indirect or consequential damages, including penalties or interest, resulting from the services provided.
You agree to indemnify and hold harmless Comply.PH, its employees, agents, and affiliates from any claims, damages, or losses arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.
In the event of a dispute, both parties agree to attempt to resolve the issue amicably through negotiation. If a resolution cannot be reached, the dispute will be submitted to binding arbitration in accordance with the rules of the Republic of Singapore. The decision of the arbitrator shall be final and binding.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts of Singapore.
We reserve the right to update or modify these Terms at any time. Any changes will be posted on our website with the updated effective date. Your continued use of our services after any changes constitutes your acceptance of the revised Terms.
These Terms, together with your service agreement, constitute the entire agreement between you and Comply.PH and supersede any prior agreements or understandings, whether written or oral.
