These Terms of Service (“Terms”) govern your access to and use of the website and services provided by COMPLY GLOBAL TECHNOLOGIES, INC., a corporation organized under the laws of the Republic of the Philippines and operating under the brand Comply.ph (“Comply.ph”, “Company”, “we”, “us”, or “our”).

By accessing or using the Comply.ph website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use our website or services.

1. Services Overview

Comply.ph provides professional corporate compliance and business support services in the Philippines, including but not limited to:

  • company incorporation and business registration
  • tax registration and compliance
  • accounting and bookkeeping services
  • payroll administration and compliance
  • employer-of-record (EOR) support services
  • corporate secretarial and statutory compliance services

Comply.ph acts solely as a service provider of professional and administrative services. The specific scope of services to be provided to each client shall be defined in a separate engagement letter or service agreement executed between the client and Comply Global Technologies, Inc.

All services are delivered based on the information and documentation provided by the client.

2. Eligibility

By using our services, you represent and warrant that:

  • you are at least 18 years of age;
  • you have the legal authority to enter into binding agreements on behalf of yourself or your organization; and
  • your use of our services complies with all applicable laws and regulations.

3. Client Responsibilities

Clients agree to:

Provide Accurate Information

Provide accurate, complete, and updated information required for regulatory filings and compliance activities.

Comply with Applicable Laws

Ensure that their business operations comply with all applicable laws and regulations in the Philippines and other relevant jurisdictions.

Cooperation

Provide timely documentation, approvals, and cooperation necessary for the completion of services.

Timely Payments

Pay all service fees and government charges in accordance with the applicable engagement letter or service agreement.

Comply.ph shall not be responsible for delays, penalties, or errors resulting from incomplete or inaccurate information provided by the client.

4. Fees, Billing, and Payments

Fees for services will be detailed in the applicable engagement letter, invoice, or service agreement.

Payments made through the Comply.ph website or through invoices issued by the Company are payments for professional services rendered by Comply Global Technologies, Inc.

Comply.ph:

  • does not act as a financial intermediary,
  • does not facilitate payments between third parties, and
  • does not hold or manage funds on behalf of clients or third parties.

Government filing fees, regulatory charges, and third-party expenses are separate from professional service fees and may vary depending on the specific transaction or jurisdiction.

Unless otherwise stated:
  • professional service fees are non-refundable once services have commenced;
  • government filing fees and third-party expenses are non-refundable once paid.

Late payments may result in service suspension or additional administrative charges.

5. Service Delivery

The delivery of services typically involves the following steps:

  • Client engagement and submission of required information
  • Preparation of documentation and compliance filings
  • Submission to relevant government agencies
  • Delivery of confirmation, filings, or compliance reports to the client

Service timelines may vary depending on:
  • government processing times
  • completeness of client documentation
  • regulatory requirements

Comply.ph does not guarantee approval or processing times by government agencies.

6. Intellectual Property

All website content, materials, branding, logos, software, and documentation provided through Comply.ph remains the intellectual property of Comply Global Technologies, Inc. or its licensors.

Clients are granted a limited, non-exclusive, non-transferable license to use the website and services solely for legitimate business purposes.

No content may be copied, reproduced, distributed, or modified without prior written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged in connection with the services.

Confidential information includes, but is not limited to:

  • business plans
  • financial information
  • employee data
  • corporate documents
  • proprietary processes

Confidential information may only be disclosed:
  • with the written consent of the disclosing party; or
  • when required by law, court order, or regulatory authority.

8. Limitation of Liability

Comply.ph performs services with reasonable professional care based on the information provided by the client.

The Company shall not be liable for:

  • errors arising from inaccurate or incomplete information supplied by the client
  • delays caused by government agencies or third parties
  • indirect, incidental, or consequential damages

If an error or omission is directly caused by Comply.ph, the Company will correct such error at no additional professional fee, provided the issue is reported within 30 days of delivery of the relevant service output.

In any event, the total liability of Comply.ph shall not exceed the professional service fees paid for the specific service giving rise to the claim.

9. Indemnification

Clients agree to indemnify and hold harmless Comply.ph, its directors, employees, agents, and affiliates from any claims, damages, liabilities, or losses arising from:

  • misuse of the services
  • violation of these Terms
  • violation of applicable laws
  • infringement of third-party rights.

10. Prohibited Use

Clients may not use Comply.ph services for:

  • illegal activities
  • financial fraud or money laundering
  • activities prohibited under Philippine law
  • activities that violate international sanctions or regulations

Comply.ph reserves the right to refuse or terminate services if such activities are suspected.

11. Termination

Either party may terminate services in accordance with the applicable engagement letter or service agreement.

Upon termination:

  • all outstanding fees become immediately due and payable
  • services will cease upon settlement of outstanding obligations.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any disputes arising out of these Terms shall be submitted to the exclusive jurisdiction of the courts of Davao City, Philippines, unless otherwise agreed in writing.

13. Changes to Terms

Comply.ph reserves the right to update or modify these Terms at any time.

Updates will be posted on this page with the revised effective date. Continued use of the website or services constitutes acceptance of the updated Terms.
